Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VisionLee LLC, a Delaware limited liability company ("VisionLee," "we," "us," or "our"), governing your access to and use of the Dokibada platform, including the signaling server, APIs, SDKs, dashboard, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Definitions

  • "Dokibada Platform" or "Service" means the WebRTC signaling infrastructure operated by VisionLee LLC, including the signaling server, TURN relay fallback, APIs, SDKs, web dashboard, and all associated tools and documentation.
  • "Firm" means a registered content provider that uses the Dokibada platform to distribute streaming content to viewers via peer-to-peer connections.
  • "Viewer" or "User" means any individual who accesses streaming content through the Dokibada platform.
  • "Signaling" means the exchange of WebRTC session descriptions (SDP offers and answers) and ICE candidates between peers, facilitated by the Dokibada server. Signaling does not involve the transmission, storage, or processing of media content.
  • "Content" means any video, audio, data, or other material transmitted between peers through connections established via the Dokibada platform.
  • "API Key" means a unique cryptographic credential issued to a Firm for authenticating with the Dokibada signaling server.
  • "Connection Metadata" means non-content data logged during signaling, including firm identifiers, stream identifiers, hashed IP addresses, timestamps, and ICE connection methods.

2. Service Description

2.1 Nature of the Service

VisionLee LLC provides signaling infrastructure only. The Dokibada platform facilitates the establishment of peer-to-peer WebRTC connections between Firms and Viewers. Once a peer-to-peer connection is established, all media content flows directly between the peers. VisionLee servers never touch, store, process, inspect, or moderate video, audio, or other media content.

2.2 TURN Relay

In cases where direct peer-to-peer connections cannot be established (for example, due to restrictive NAT configurations or firewalls), the platform may route traffic through a TURN (Traversal Using Relays around NAT) server as a fallback. Even when TURN relay is used, the relayed data is encrypted end-to-end between peers, and VisionLee does not decrypt, inspect, store, or otherwise access the content of the relayed data.

2.3 No Content Hosting

VisionLee does not host, store, cache, index, or moderate any user-generated content. The Service does not include content delivery, content moderation, content storage, or content recommendation functionality. VisionLee is not a content provider, broadcaster, or media platform.

3. Account Registration and API Keys

3.1 Account Creation

To use the Service as a Firm, you must register for an account by providing accurate and complete information, including a valid email address and firm name. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 API Key Security

API Keys are confidential credentials. You must not share, publish, embed in client-side code, or otherwise expose your API Keys. You are responsible for all activity conducted using your API Keys. If you believe an API Key has been compromised, you must revoke it immediately through the dashboard and generate a new one.

3.3 Account Eligibility

You must be at least 18 years of age to create an account. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. User Obligations

4.1 Compliance with Laws

You agree to use the Service in compliance with all applicable local, state, national, and international laws and regulations. You are solely responsible for ensuring that your use of the Service, including any content you transmit through peer-to-peer connections established via the platform, complies with all applicable laws.

4.2 Acceptable Use

Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy constitutes a material breach of these Terms.

4.3 Content Responsibility

Users are solely and entirely responsible for all content they share, transmit, or distribute through peer-to-peer connections established via the Dokibada platform. VisionLee exercises no control over, and assumes no responsibility for, the content transmitted between peers. Firms are responsible for ensuring that the content they distribute complies with all applicable laws, including but not limited to copyright law, privacy law, and laws prohibiting illegal content.

4.4 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5. Intellectual Property

5.1 VisionLee Property

The Service, including all software, code, APIs, SDKs, documentation, designs, trademarks, and other intellectual property, is and remains the exclusive property of VisionLee LLC. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

5.2 SDK License

Subject to your compliance with these Terms, VisionLee grants you a limited, non-exclusive, non-transferable, revocable license to use the Dokibada SDKs solely for the purpose of integrating with the Dokibada platform.

6. Limitation of Liability

6.1 No Liability for Content

VISIONLEE LLC IS NOT LIABLE FOR ANY CONTENT SHARED, TRANSMITTED, OR DISTRIBUTED THROUGH PEER-TO-PEER CONNECTIONS ESTABLISHED VIA THE DOKIBADA PLATFORM. Because VisionLee provides signaling infrastructure only and does not host, store, process, or moderate content, VisionLee shall have no liability arising from or related to any content transmitted between peers, including but not limited to liability for copyright infringement, defamation, privacy violations, or illegal content.

6.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. VISIONLEE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

6.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VISIONLEE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE; (C) ANY CONTENT OBTAINED FROM OR THROUGH THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

6.4 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF VISIONLEE LLC ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO VISIONLEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

7. Indemnification

You agree to indemnify, defend, and hold harmless VisionLee LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) any content you transmit through peer-to-peer connections established via the platform; (c) your violation of these Terms or the Acceptable Use Policy; (d) your violation of any applicable law or regulation; or (e) your violation of any rights of a third party.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at support@visionlee.com or through the dashboard settings. Upon termination, your API Keys will be revoked and your access to the Service will cease.

8.2 Termination by VisionLee

VisionLee reserves the right to suspend or terminate your account and revoke your API Keys at any time, with or without cause, and with or without notice. Without limiting the foregoing, VisionLee may terminate your account immediately if you violate these Terms or the Acceptable Use Policy.

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5 (Intellectual Property), 6 (Limitation of Liability), 7 (Indemnification), and 10 (Governing Law and Dispute Resolution).

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, either party may bring an action in the state or federal courts located in the State of Delaware, and each party irrevocably consents to the exclusive jurisdiction and venue of such courts.

10.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11. Modifications

VisionLee reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice by posting the updated Terms on the Service and updating the "Last updated" date at the top of this page. We may also notify you by email if we have your email address on file. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and VisionLee LLC regarding the Service and supersede all prior agreements and understandings, whether written or oral.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

12.3 Waiver

The failure of VisionLee to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without the prior written consent of VisionLee. VisionLee may assign these Terms without restriction.

12.5 Force Majeure

VisionLee shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, network infrastructure failures, or strikes.
